Vendor Agreement
Terms Governing Vendor Participation on LQTTA
This Vendor Agreement governs participation of vendors on the LQTTA digital marketplace platform. By registering as a vendor, you agree to comply with this Agreement and all applicable UAE laws.
1. Vendor Eligibility
Vendors must be legally registered businesses within the United Arab Emirates at the time of onboarding. LQTTA reserves the right to request documentation and approve or reject vendor applications at its discretion.
2. Vendor Responsibilities
- Compliance with UAE commercial and consumer protection laws
- Accurate product descriptions and pricing
- Lawful sourcing of products
- Timely order fulfillment
- Warranty and after-sales support
- Tax compliance obligations
3. Payment Collection
Vendor authorizes LQTTA to collect payments on its behalf as a limited collection agent. Vendors shall not request or accept off-platform payments for orders initiated via LQTTA.
4. Fees and Commission
LQTTA may charge commissions or service fees as published within the Platform. Promotional fee waivers may apply for limited periods. LQTTA reserves the right to modify fees with notice.
5. Payout Terms
Vendor earnings become eligible seven (7) days after confirmed delivery, subject to dispute review, fraud monitoring, or compliance investigation.
6. Indemnification
Vendor agrees to indemnify and hold harmless LQTTA against claims, losses, penalties, damages, or expenses arising from vendor products, services, or legal violations.
7. Intellectual Property
Vendor grants LQTTA a non-exclusive license to display product information, trademarks, and branding for marketplace operations and promotional purposes.
8. Suspension and Termination
LQTTA may suspend or terminate vendor accounts in cases of fraud, regulatory risk, repeated complaints, or policy violations.
9. Governing Law
This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of UAE Courts.
